PURPOSE OF MEETING:
President Borda explained that the meeting had been called for the purpose of informing board members of negotiations taking plac.e with officials of the Illinois
Central Railroad relative to the possible acquidng of railroad property on Central Avenue as a location for a council office service center.
He said that rRilroad officials were pushing for a quick decision by the council,
b11t that he would not press for any action at this meeting because of the limited
time board members had had to consider any proposal and al.so because small attendance would not necessarily result in representative thinkin3 of the entire
board.

III.

LOCATION AND DESCRIPTION OF

,PROPE~TY:

President Borda called on. Bill Wofford, chairman of the office site selection
committee, who described and locqted the property on a large city map. It consists of a triangular shaped lot approximately 1. 7 acres in size located in the
general area of the fairf\rounds. The triangle is bounded by Central Avenue,
Milton Street and the IC Railrond. George Thomason, executive board member and
architect, had given his opinion that the property would be very adequate for a
council office service center.
IV.

PROPOSAL OF RAILROAD

OFFICIAL~:

Bill Wofford reported that he had talked to railroad officials with Paul Borda
and Frank .Jemison. At one time it seemed possible that the council could obtain
a long term lease with an option to buy the property at a sale price of $50,000.
The latest information indicated that the railroad would probably require $75,000
with no lease arrangements. Mr. Wofford elabrated on the ideal location of this
property and suggested that the council should offar the railroad $50,000 and
work out arrangements to pay the total amount out over as long a period of time
as could be arranged.
V.

COMMENTS FROM THOSLJRESENT.:
Frank Jemison concurred that the site seemed to be ideal for a Scout office
building and could be very effectively utilized. He said that he felt that the
council needs to make definite plans as early as possible for an office service
center and plans for a capital campaign. He pointed out that any proposal submitted by the council should be contingent on obtaining proper zoning to errect
an office building.
Clyde Wentz reported that the camping and activities committee would be requesting approval for money from capital funds for work to be done on the council
camps so care should be taken not to deplete these funds to the point where this
work could not be done,

- 2George Phillips expressed his opinion that the council needed to include everything in one complete capital campaign for camp development and office site and
building, He felt that it was necessary to get the money first in a well organized capital campaign projectin g all the needs,
Rembert Donelson expressed his opinion that the council should proceed to get
the property if proper terms could be secured.
Jim Carmichael thought that the council should make the original offer to the
railroad with the $50,000 sale price.
Charles Crump stated that it is difficult to raise money to pay
can best be raised to prov:Lcie funds for well thought out plans,
that it be determine d if the IC Railroad would give the council
least one yeiir to purchase the property at $50",000. This would

COlWLUSIO!'J.:

President Borda announced that no decision would be made st this meeting. It
would be brought up for discussio n at the next regular board meeting on April 9.
The Scout executive was instructe d to send informati on about the property to
board members along with the mcct.ing notice in order that they be better prepared
for discussio n.

Mr. Herbert Humphreys
Chairman of the Board
HumKo Corporation
130 0 Sterick Building
Memphis, Tennessee
Dear Herb:
All of us on the Executive Board of the Chickasaw Council of Boy Scouts of
America, Inc. are most grateful to you fer the splendid help you are giving
us in obtaining suitable property for the proposed new Boy Scout headquarters
building. As you know, since the fall of 1964, the Boy Scouts have been
negotiating with Mr. F. J, Duggan, superintendent of Illinois-Central here in
Memphis, through Mr. W. C, Wofford, with the objective of either purchasing
or leasing the Illinois-Central property at Central and Milton Avenue in
Memphis. At all times, Mr. Duggan has been most cooperative and has been
working closely with the Chickasaw Council.
A few weeks ago, Mr. W. C. Wofford was informed by Mr. F. J. Duggan that
a land trade offer had been proposed from others for this property. Mr. Duggan
indicated that there was an excellent chance that the Boy Scouts could still
acquire this property on the terms outlined in the attached letter. Mr. Duggan
said he would recommend to the Chicago office that they accept this proposal
·from the Boy Scouts along the lines as outlined here. He reported that the lease
amount for the land was based upon a standard :.formula used by the IllinoisCentral for their properties which are leased to others.
The Executive Committee of the Chickasaw Council met at 7:30 p.m. on March
4 and approved the tentative proposal for the consideration and final approval
' of Chickasaw Council's full Executive Board which would meet on March 12,
1965.

Mr. Duggan had recommended the sale price to be proposed by Chickasaw
Council and the lease amount. Since the attached proposal was recommended
by Mr. Duggan, and worked out according to his suggestion, it was his opinion
that it would be approved by the Illinois-Central Chicago office.
On Monday, March 5, the Scouts were advised that the Memphis Realty Company
was negotiating a trade of some land on Florida Avenue for the Central-Milton
property under discussion, and that the Illinois-Central preferred to make this
deal since it was to the best financial interest of the Railroad. Memphis Realty
Company then contacted Mr. Paul Borda, the president of Chickasaw Council,
with the suggestion that.the Council enter into a purchase and transfer arrangement so that the Council would purchase some Florida Avenue property for $7 5, 000,
and that this property would be traded to the Railroad for the Central Avenue property. As you can see from the attached letter, this is $25, 000 more than the
$50, 000 sale price originally recommended by Mr. F, J. Duggan. The Council then
met with Mr. Fred Heimlicher of the Illinois-Central Railroad who stated again that
the interest of the Railroad had to be protected through a property trade, and that
he would proceed to let the real estate man develop the proposed exchange to a
conclusion. This evidently superceded the work and opinion of Mr, F. J. Duggan.
Herb, the Chickasaw Council cannot afford to pay the $75, 000 price on a property
exchange, and of course, is very anxious to obtain this property at the original
$50, 000 figure suggested by the Illinois-Central . Of course, it would also be
most happy to lease the property un<~er the terms suggested by Mr. Duggan.
Since Mr. W. A. Johnson, president and chairman of the Executive Committee of the
Illinois-Central , is vitally interested in Scouting, we thought that perhaps he could
make certain suggestions and recommendation s 1'\hich would favor the Boy Scouts in
this situation. We would be most thankful to you and to Mr. Johnson for any other
· help you can give us in this transaction.
Sincerely,

! -,~

STRENGTHEN AMERICA

FOR INTRA-ORGANIZATION COMMUNICATION

March 17, 1965

Mr. Jones B. Huskey
Scout Executive
Chickasaw Council, No. 558
Memphis, Tennessee
REPORT TO COUNCIL

Dear Jones:
Thank you for the good hospitality and good company for rrry short visit to Memphis.
I appreciated the opportunity to meet your president and to meet with the architect
for your proposed council office project.
We reviewed with the architect, in a general way, what should be included in a
plan to meet your needs for a council office building. I used design sheets
D545, D546, D548, D561, D562, D564, D565, D566, D568, D569, D580, D586, D589
and D590 to illustrate representative layouts. Most of what we discussed is
covered in the booklet "Design and Planning of a Council Office Building".
However, I did stress the following points to you.
1. Prepare to sell your office project to one, or to very few potential donors.
In order to do this, you must select the right site, design a building that
will meet your staff and administrative needs for about 8 years and then
estimate the cost of the total project including land, building, architect's
fees, furnishings and equipment, landscaping and parking area development.
2. Do not compromise with what is really needed to provide a fUnctional and
representative office, that will be easy to maintain through the years.
An individual or foundation able to finance such a project, 01· a major
portion of such a project, wants the project to be representative of them
and of the highest possible community appreciationfor Scouting.

3. Use the criteria of a good office site from the planning booklet.

If the
Illinois Central site does not work out, then enlarge the site selection
comw.ittee, spell out the requirements specifically and let the enlarged
committee seek additional leads.

4. Do not talk figures (square feet or dollars) until the site has been selected and
the actual preliminary plan agreed upon.
5. ClarifY the contract with the architect before expecting him to do more work
on preliminary plans. Use the architects as advisors in site selection.
Use total architectural services. The architect agreed to prepare the
furnishings and decorating plan on paper.

Memphis, Tenn.

March 17, 1965

6. You have a real job to do in defining the requirements for the office. I
gave you an outline of a proposed architectural program, D660. The work
you do now in projecting staff organization and space needs will save you and
the architects much time in arriving at the right floor plans.

7. It would be good for you, the architect and key members of the Building
Committee to visit existing council office buildings. You might include
Little Rock, Hattiesburg, Tulsa, Oklahoma City, Tyler, Fort Worth.
Use the mimeographed Principles of Good Council Office Layout, D651, to judge
the effectiveness of each office you visit.
We will be most anxious to work with you as this project develops. Be sure to
get a chance to review any preliminary plans and also the working drawings
when they are produced. You have an order form for materials. Write to me
whenever you think I might be of help. Since this is a second round for you,
I will expect a truly outstanding office project in Memphis, before too many
years go by. I will look forward to spending a little more time in Memphis on
rrry next trip.
Scoutfully,

MEETING WITH ILLINOIS CENTRAL MANAGEMENT CONCERNING ACQUISITION

OF CENTRAL AVENUE PROPERTY FOR NEW SCOUT SERVICE CENTER
MARCH 10, 1965
In attendance, representing Illinois Central were Messrs. Bill Sikes, Fred Heimlicher,
Jr. and F. J. Duggan was unable to attend, For Boy Scouts of America were. Paul Borda
and W. c. Wofford, chairman of service center committee.
HISTORY OF NEGOTIATIONS:
Effords to purchase subject property began in September 1964. Contact was made by
Mr. Wofford with Mr. F. J. Duggan, superintendent of Illinois Central. Illinois
Central always prefers to trade rather than to sell property, but in this case,
since there appeared to be no prospects of a trade, arrangements were made to secure
appraisals and to establish a sales price, Much of this had to be worked out with
the Illinois Central Land and Tax Departments in Chicago.
In the interim Mr. W, A. Johnston, president and chairman, Executive Committee of
Illinois Central, was advised by Mr. Herbert Humphreys, chairman Humko Products and
member of Illinois Central Board of Directors, of the efforts being made locally in
behalf of the Boy Scouts of America. Mr. Johnston advised Mr. Humphreys that we
would hear from Mr. Duggan concerning this proposed acquisition,
Approximately two weeks ago Mr. Wofford was informed by Mr. Duggan that a land trade
of fer had developed and that for this reason the probable acquisition by the Boy
Scouts did not seem likely. On Thursday, March 4, Mr. Wofford was invited to a
meeting with Mr. Duggan, Mr. Sikes and l'!r. Dick Jones of the Illinois Central during
which a proposition essentially described in the attached letter was made to Illinois
Central with the understanding that this proposal had to be approved by the Illinois
Central home office and would also be submitted to the Chickasaw Council Executive
Board for consideration and approval. A committee composed of the recipients of
this report met at 7: 30 P .M., March 4, and approved the tentative proposal for the
consideration of the executive board on March 12, 1965.
On Monday, March 5 we were again advised that the Memphis Realty Company was negotiating a trade of some land on Florida Avenue for the property under discussion on
Central Avenue and that Illinois Central preferred to make this deal for the financial benefit of the railroad.
Mr. Bethel Hunt of the Memphis Realty Company was asked to contact the writer to
see if we could enter into a purchase and transfer arrangement so that Chickasaw
Council would buy the Florida Avenue property for $75,000 and that this property
would then be traded to the railroad in exchange for the Central Avenue property.
This proposition was considered too expensive for the Boy Scouts of America and
after reviewing the entire negotiations with Mr. Heimlicher over the telephone
decided on a meeting to be held in his office on March 10, which has just been
concluded.
DECISION REACHED IN MEETING WITH MR. HEIMLICHER:
A great deal of discussion ensued. It was pointed out that the Boy Scouts of
America had been dealing entirely with Mr. Duggan of Illinois Central and we felt
that negotiations or bargaining should continue with the railroad representatives
rather than with a real estate man.
It was agreed that: since Mr. Heimlicher felt that the interest of the railroad
had to be protected through a property trade, he should proceed to let the real
estate man develop the proposed deal to a conclusion,
Mr. Heimlicher set a ten day limit to close the property deal with the real estate
company. If it is not closed in ten days, we will be advised so we may resume and
finalize negotiation for purchase.

December 11, 1964,

Dear Herb:
Although I suspect that you have been receiving
inforr<>ation locally, I should like to bring you up to date
from this end on our handling of the property at Central and
Milton Avenues in Memphis in which the Chickasaw Council of
the Boy Scouts is interested,
Frank Duggan, our terminal superintendent in
Memphis, contacted Mr. Jemison and they visited about the
matter, When Superintendent Duggan informed Mr. Jemison
in the course of the conversation that he had had an inquiry
a couple of months back from Mr. W. C, Wofford, chairman,
Scout Service Center Location CollU1littee, Mr. Jemison requested
that we continue to handle this subject with l'.r. Wofford, Our
Land & Tax Department is presently obtaining a formal appraisal
of the property from the Memphis Realty Company, and after this
is received Mr. Duggan will have a further discussion with MI-,

Dear Herbert:

You have oerta1nly done a splendid Job tn taking oare of the National Dairy

Paul Borda, the president of the Ch1ckesew Council , has asked me to esslst

Dear Frank:
Paul Borda tells me that he has talked to you about some property for
a possible Scout office location which we have requested from the
Illinois Central Railroad.
The property that we are talking about is located on the enclosed map.
It is a triangular shaped piece of property bounded by Central Avenue,
Milton Avenue and the Illinois Central Railroad.
Mr. Borda has asked that I send you this map showing the location and
some other information which might be helpful to you. We are enclosing
some information indicating what we need for a Scout office headquarters
and service center and a booklet showing some pictures and plans of other
council headquarters buildings throughout the country.
Any help that you might be able to give us on this project will be greatly
appreciated.
Sincerely,

Last year we provided a "Handbook of Operation s" in which we attempted to

Dear ,Jones:
I have reviewed your prooosed letter to Ken Clark
drafted pursuant to our recent conference.
I have talked to Ken by telephone and have made a
revision of your letter in order to emphasize the fact that
the Council is the only legal entity with power to accept
a bequest on behalf of the Seminole Branch or the North,
South and Central Districts.
I am sending a rough draft of the revision to Harold
and also Shep Tate for their examination and approval.

once they approve, then you should put it on Council
stationery tor Harold's signature.
I request that both Harold and Shep examine the
revision very carefully and make any correction they deell'.

March 3, 1969

Mr. Kenneth F. Clark, Jr.
Mccloy, Wellford & Clark
Attorneys at Law
First National Bank Building
Memphis, Tennessee 38103
Dear Mr. Clark:
Thank you for your letter of February 6, 1969 informing us that you represent the Estate of C. M. Gooch, who
made provision in his Last Will and Testament for a bequest
for the use and benefit of '"l'he Boy Scouts of America, Memphis,
Tennessee, Seminole Branch".
In answer to your question about the "Seminole Branch",
we would like to inform you as follows:
1. The correct name of the Seminole Branch was the
Seminole Division.
2. The Seminole Division was a part of the Chickasaw
Council BSA, Inc. 'I'he division was not a legal entity in and
of itself. The only legal entity with power to accept the
bequest on behalf of the Seminole Division (Branch) is the
Chickasaw Council BSA, Inc.
3.

The Seminole Division served Negro Scouts.

Several years ago the executive board of the
4.
Chickasaw Council officially sub-divided the Seminole Division
into three districts, known as the North, South and Central
Districts of the Chickasaw Council, in order to improve operations and give Negroes better representation on the executive
board.
5. The North, South and Central Districts of the
Chickasaw Council are part of the Chickasaw Council just as
the Seminole Division (Branch) was a part of the Council.
They occupy the same legal status as the old Seminole Division
(Branch) except that the chairmen of these three districts
are represented on the executive board of the Council. These
three districts are not legal entities in and of themselves.
6. Whereas Negro camping facilities used to be
segregated, Negro Scouts now use the same camping facilities
as other Scouts in our Council. As you know, camping cqnstitutes a very important part of Scouting and the funds to be
derived for such purposes under Mr. Gooch's Will are greatly
needed and will benefit large numbers of Scouts.

-27. With reference to the particular portion of the
Will to which you call my attention by your letter, I should
emphasize that the "Seminole Branch" has not ceased to exist;
its name has been changed so that it is no\:T''known as the North,
Couth and Central Districts, but it continues to serve Negro
Scouts 1
8. The Chickasaw Council BSA, Inc. on behalf of its
North, South and Central Districts (formerly known as the
Seminole Division (Branch)) of the Chickasaw Council hereby
accepts with gratitude the bequest made to "The Boy Scouts of
America, Memphis, Tennessee, Seminole Branch".
I wish to add that Scouts and Scouters of the Chickasaw
Council are indeed grateful for Mr. Gooch's generosity in the
furtherance of the proper development of the youth of this area.
I can think of no time when the young people of this country
are in greater need of the excellent influence of Scouting.
We are taking the liberty of sending a copy of this
letter to Mrs. Gooch in order to express to her also our sincere
thanks and appreciation for her husband's beneficence.
Sincerely,

H. L. Steinkamp
President

President Borda explained that the meeting had been called for the purpose of informing
board members of negotiations taking plac.e with officials of the Illinois
Central Railroad relative to the possible acquidng of railroad property on Central
Avenue as a location for a council office service center.
He said that rRilroad officials were pushing for a quick decision by the council,
b11t that he would not press for any action at this meeting because of the limited
time board members had had to consider any proposal and al.so because small attendance
would not necessarily result in representative thinkin3 of the entire
board.
III. LOCATION AND DESCRIPTION OF ,PROPE~TY:
President Borda called on. Bill Wofford, chairman of the office site selection
committee, who described and locqted the property on a large city map. It consists
of a triangular shaped lot approximately 1. 7 acres in size located in the
general area of the fairf\rounds. The triangle is bounded by Central Avenue,
Milton Street and the IC Railrond. George Thomason, executive board member and
architect, had given his opinion that the property would be very adequate for a
council office service center.
IV. PROPOSAL OF RAILROAD OFFICIAL~:
He pointed out that any proposal submitted
by the council should be contingent on obtaining proper zoning to errect
an office building.
Clyde Wentz reported that the camping and activities committee would be requesting
approval for money from capital funds for work to be done on the council
camps so care should be taken not to deplete these funds to the point where this
work could not be done,
- 2 -
George Phillips expressed his opinion that the council needed to include everything
in one complete capital campaign for camp development and office site and
building, He felt that it was necessary to get the money first in a well organized
capital campaign projecting all the needs,
Rembert Donelson expressed his opinion that the council should proceed to get
the property if proper terms could be secured.
Jim Carmichael thought that the council should make the original offer to the
railroad with the $50,000 sale price.
Charles Crump stated that it is difficult to raise money to pay debts but money
can best be raised to prov:Lcie funds for well thought out plans, He suggested
that it be determined if the IC Railroad would give the council an option of at
least one yeiir to purchase the property at $50",000. This would give time to get
estimates of total needs and organize a capital funds campaign.
COlWLUSIO!'J.:
President Borda announced that no decision would be made st this meeting. It
would be brought up for discussion at the next regular board meeting on April 9.
The Scout executive was instructed to send information about the property to
board members along with the mcct.ing notice in order that they be better prepared
for discussion.
Respectfully submitted,

He reported that the lease
amount for the land was based upon a standard :.formula used by the IllinoisCentral
for their properties which are leased to others.

Paul Borda, the president of Chickasaw Council,
with the suggestion that.the Council enter into a purchase and transfer arrangement
so that the Council would purchase some Florida Avenue property for $7 5, 000,
and that this property would be traded to the Railroad for the Central Avenue property.
$50, 000 figure suggested by the Illinois-Central. Of course, it would also be
most happy to lease the property un<~er the terms suggested by Mr. Duggan.
Since Mr. W. A. Johnson, president and chairman of the Executive Committee of the
Illinois-Central, is vitally interested in Scouting, we thought that perhaps he could
make certain suggestions and recommendations 1'\hich would favor the Boy Scouts in
this situation. We would be most thankful to you and to Mr. Johnson for any other
· help you can give us in this transaction.
Sincerely,

STRENGTHEN AMERICA
FOR INTRA-ORGANIZATION COMMUNICATION
Mr. Jones B. Huskey
Scout Executive
Chickasaw Council, No.
Memphis, Tennessee
Dear Jones:
March 17, 1965
558
REPORT TO COUNCIL
-2- March 17, 1965

Gentlemen:
Some of you may not know this, but since the meeting at my house last Thursday
night the entire picture of acquistion of land on Central Avenue has completely
changed. I wanted to bring you up to date and let you know what has
transpired and where we now stand by sending you the attached report. Obviously,
many things were discussed which cannot be shown in this brief report, but the
important facts are here.
It is my thinking that there is nothing to be gained by discussing this at
Friday's board meeting because but very few board members know of what transpired
last week and consquently there is no need for explanation. I can assure
you that we will look forward to hearing from Illinois Central within ten days
and that even now we will proceed to find another location if at all possible
and hope that we can find one that is even better than the one we have been
considering.
The proposition Bethel Hunt made was for us to buy the Florida Avenue property
for $75,000 and we felt it was much in excess of the value of the Central property.
Furthermore, we did not feel that we should deal with a real estate
man after all these months of dealing with the railroad officials, and paying
far more for the property than we had planned which includes substantial
commissions to the real estate msn.
Please feel free to call me if you wish any further details.

On Monday, March 5 we were again advised that the Memphis Realty Company was negotiating
a trade of some land on Florida Avenue for the property under discussion on
Central Avenue and that Illinois Central preferred to make this deal for the financial
benefit of the railroad.

Dear Frank:
November 3, 1964
Any help that you might be able to give us on this project will be greatly

including the following:
a. It is not nearly as accessible as it should be.
b. Parking is almost impossible.
c. Elevator service is extremely poor.
d. Express and freight delivery cannot be made to our office.
e. Upkeep of the building is negligible.
f. Our space is adequate but does not permit an arrangement for efficient operation.
g. The environment does nothing positive for the prestige of our organization.
You can see just from these few items that it is imperative that we move just as soon ss
we can find a place to improve our situation,
Here are some of the things that we need to think about in providing an adequate office
service center:
a. A building located near the geographical center of the dty.
b. A location easily accessible by major through streets.
c. A ground floor service center (approximately 5,000 square feet).

e. An attractive btilding properly designed for our operation with provisions for
future expansion'~

I have reviewed your prooosed letter to Ken Clark
drafted pursuant to our recent conference.
I have talked to Ken by telephone and have made a
revision of your letter in order to emphasize the fact that
the Council is the only legal entity with power to accept
a bequest on behalf of the Seminole Branch or the North,
South and Central Districts.
I am sending a rough draft of the revision to Harold
and also Shep Tate for their examination and approval.
once they approve, then you should put it on Council
stationery tor Harold's signature.
I request that both Harold and Shep examine the
revision very carefully and make any correction they deell'.
advisable. /

Mr. Kenneth F. Clark, Jr.
Mccloy, Wellford & Clark

Memphis, Tennessee 38103
Dear Mr. Clark:
March 3, 1969
Thank you for your letter of February 6, 1969 informing
us that you represent the Estate of C. M. Gooch, who
made provision in his Last Will and Testament for a bequest
for the use and benefit of '"l'he Boy Scouts of America, Memphis,
Tennessee, Seminole Branch".
4. Several years ago the executive board of the
Chickasaw Council officially sub-divided the Seminole Division
into three districts, known as the North, South and Central
Districts of the Chickasaw Council, in order to improve operations
and give Negroes better representation on the executive
board.
As you know, camping cqnstitutes
a very important part of Scouting and the funds to be
derived for such purposes under Mr. Gooch's Will are greatly
needed and will benefit large numbers of Scouts.
-2-
7. With reference to the particular portion of the
Will to which you call my attention by your letter, I should
emphasize that the "Seminole Branch" has not ceased to exist;
its name has been changed so that it is no\:T''known as the North,
Couth and Central Districts, but it continues to serve Negro
Scouts 1
Gooch in order to express to her also our sincere
thanks and appreciation for her husband's beneficence.
cc: Mrs. C. M. Gooch
Mr. S. Shepherd Tate
Sincerely,
H. L. Steinkamp
